Last updated: 2025-12-29This English version is a reference translation. In the event of any discrepancy, the Japanese version shall prevail.
Article 1 (Application)

These Terms set out the conditions for using the website, contract development, development support, data collection and other services provided by Clover LLC (the “Company”) (collectively, the “Services”). Users shall use the Services upon agreeing to these Terms.

Article 2 (Definitions)

In these Terms, “User” means any individual or legal entity that browses or uses the Services. Other terms shall be reasonably interpreted according to their context.

Article 3 (Registration and Accounts)

For certain parts of the Services, registration is completed when an application is made by the method prescribed by the Company and approved by the Company. Users shall keep their registration information accurate and up to date, and shall manage their account information (IDs, passwords, etc.) at their own responsibility.

Article 4 (Contracts and Individual Terms)

Individual projects such as contract development, quasi-mandate work and data provision are governed by separate quotations, purchase orders, contracts or other individual terms (“Individual Contracts”). If an Individual Contract conflicts with these Terms, the Individual Contract prevails.

Article 5 (Fees and Payment)

When using paid portions of the Services, Users shall pay in accordance with the fees and payment terms separately specified by the Company. In the event of late payment, the Company may take measures such as suspending the Services.

Article 6 (Prohibited Acts)

Users shall not engage in violations of laws, acts contrary to public order and morals, infringement of third-party rights, registration of false information, defamation of the Company or third parties, interference with operations such as excessive load or unauthorized access, reverse engineering, or similar acts.

Article 7 (Intellectual Property)

Copyrights, trademarks and other intellectual property rights relating to the Services and to materials and content provided by the Company belong to the Company or the legitimate rights holders. Unless otherwise provided in an Individual Contract, Users may not reproduce, republish or repurpose them without the Company’s permission.

Article 8 (Confidentiality)

Users and the Company shall not disclose or leak to any third party, without the other party’s consent, non-public information (business, technical or otherwise) disclosed by the other party in connection with the consideration or performance of an Individual Contract. Details are governed by the Individual Contract or a separately executed non-disclosure agreement.

Article 9 (Use and Publication of Names and Logos)

The Company and Users (including partners and business counterparts) shall not post or use the other party’s company name, trade name, trademarks, logos, service names, etc. (“Brand Marks”) on websites, proposals, press releases or elsewhere without the other party’s prior consent in writing or by electronic record (such as email). Even where consent is obtained, the party shall follow the other party’s brand guidelines (notation, colors, clear space, no alterations, etc.), and shall promptly stop and remove such use upon request.

Article 10 (Changes to and Suspension of the Services)

The Company may change all or part of the Services or temporarily suspend them due to system maintenance, failures, natural disasters, legal compliance or other unavoidable reasons.

Article 11 (Disclaimer and Limitation of Liability)

The Company makes no warranty regarding the fitness for a particular purpose, completeness, accuracy or usefulness of the Services. The Company shall not be liable for damages incurred by Users through use of the Services except in cases of the Company’s willful misconduct or gross negligence. Even where the Company is liable, its liability shall be limited to the most recent consideration received by the Company under the Individual Contract directly related to such damages (to the extent not contrary to mandatory laws).

Article 12 (Suspension and Termination)

If a User violates these Terms, or if the Company reasonably deems it necessary, the Company may, without prior notice, suspend use of the Services, delete registration, terminate Individual Contracts or take other measures.

Article 13 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. Any dispute between the Company and a User relating to the Services shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Company’s head office as the court of first instance.

Article 14 (Changes to these Terms)

The Company may change these Terms as necessary. The changed Terms take effect when posted on this page.
